Who we are and acceptance of terms
These Terms and Conditions (the "Terms") are an agreement between you (the customer or visitor) and Northline Digital, operated by Sam Sheldrake ("we", "us" or "our"). We are based in England.
Our business address is Dereham, Norfolk, NR20 4AG, and our business registration status is Sole trader based in the United Kingdom.
Please read these Terms before you create an account or buy anything. By browsing the website, creating an account, placing an order or downloading a product, you confirm that you accept these Terms. If you do not agree, please do not buy or use our products.
Nothing in these Terms takes away your statutory rights as a consumer.
Our products
We sell digital products, such as spreadsheet workbooks (designed for tools like Microsoft Excel and Google Sheets), planning templates and calculators. Some tools may be used online inside your account. When you are logged in, a calculator can save your work to your account so you can open it on your other devices. You can delete that saved work at any time from within the calculator. Please keep your own backup of anything important, using the calculator's backup option.
Descriptions, screenshots and previews on the website are a guide to what a product does. Products that are shown as coming soon, in preparation or planned are not for sale yet, and we do not promise a release date or a final price for them.
Products are supplied as digital content only. No physical items are sent.
Your account
To buy a product or use the customer area, you create an account with an email address and a password. When you do, you agree to:
- give us accurate details and keep them up to date;
- keep your password private and not share your account with anyone else; and
- tell us as soon as you think someone else has used your account, by emailing support@northline-digital.co.uk.
You can change your name and password, or log out of all devices, from the Settings tab in your account. You can stop using your account at any time. To have it closed, email us. Please download your files first, as we cannot give you access to them once the account is closed.
We may suspend or close an account if it is used for fraud, abuse, or to break these Terms or the licence in Section 07. If we do this because of a breach, we will tell you why. How we handle your personal data is explained in our Privacy Policy.
Prices, payment and delivery
- One-off purchases: The price shown for a product is a one-off fee for that product. There is no subscription and no hidden renewal charge.
- Price and currency: Prices are shown in pounds sterling (GBP) on the product page and at checkout before you pay. We are not VAT-registered, so no VAT is added to our prices.
- Payment: Payments are taken securely by our payment provider, Stripe. We never see or store your full card details.
- When the contract starts: Your order is accepted once your payment has gone through. We may refuse or cancel an order if the price was clearly shown wrongly, or if we suspect fraud. If we cancel an order we will refund anything you paid.
- Delivery: Once payment is confirmed, the product is added to the library in your account. Downloads use private links that expire after a short time. You can ask for a fresh link from your library whenever you need one while you have access. Online tools open inside your account.
- Your copies: We take care of the files we hold, but you should keep your own copy of anything you download.
Cancelling and refunds
Our 7-day refund promise: If you ask within 7 days of the date of purchase, we will give you a full refund for any reason, even if you have downloaded, opened or used the product. Ask from Account → Orders (Request a refund) or by email. The promise covers your first purchase of each product, not a repeat purchase of a product that was refunded, and we may decline it where there is clear evidence of misuse of the licence (Section 07). Full details are in our Refund Policy.
The promise is in addition to your statutory rights, which are set out below. Nothing in these Terms limits them.
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, UK consumers normally have the right to cancel an online purchase within 14 days, without giving a reason.
- agree that we can start supplying the digital content immediately, before the 14-day period ends; and
- acknowledge that once the download or access has begun, you lose your right to cancel.
If you have paid but have not yet downloaded, opened or used the product, you can still cancel within 14 days of buying it. Email support@northline-digital.co.uk with your order details. We will refund you to the original payment method within 14 days of agreeing to your cancellation.
When a purchase is refunded, the product is removed from your library and the licence for it ends.
If a product is faulty or not as described, you do not lose your rights because you have downloaded it. See Section 06.
Faulty products and your rights
Under the Consumer Rights Act 2015, digital content must be:
- of satisfactory quality, taking into account its description and price;
- fit for a particular purpose that you made known to us; and
- as described, matching what we say on the website.
If a product is corrupted, has broken formulas or does not work as described:
- Repair or replacement: Email support@northline-digital.co.uk with your order details and a description of the problem (a screenshot helps). We will check it and provide a corrected version at no extra cost, within a reasonable time.
- Price reduction or refund: If we cannot put the problem right within a reasonable time and without significant inconvenience to you, you are entitled to a price reduction or a full refund, to your original payment method.
Licence and acceptable use
When you buy a product and your payment is confirmed, we give you a personal, non-exclusive, non-transferable licence to use that product. The licence is for you, as the buyer, to use for yourself or for your own business.
- You may: use the product for your own work or your own business, edit and customise it for your own use, and keep backup copies.
- You may not: resell it, share it with other people, sub-license it, give it away or put it on any website, marketplace, shared drive or file-sharing service, whether in its original or an edited form. You may not claim it as your own work, or use it to build a product or service that competes with ours.
- One buyer: A product is licensed to one buyer. If other people need it, they need to buy their own.
If you break this licence, we may end it and close the account that was used. The licence otherwise lasts for as long as you keep the product.
Support, fixes and updates
- Bug fixes: If something does not work as described, email support@northline-digital.co.uk. If we find a genuine error, we will fix it for free.
- Support: Support is by email only. We aim to reply within 24 hours.
- New features: We do not promise new features, extra updates or ongoing support for a product beyond fixing bugs. We may improve a product over time, but that is up to us.
Disclaimer: general tools, not financial, tax or legal advice
- We are not accountants, tax advisers, solicitors or regulated financial advisers.
- Tax and legal rules change often and depend on your own situation.
- You are responsible for checking any figure before you rely on it, for example before you set a price, file a tax return with HMRC or sign a client agreement.
- Please speak to a qualified adviser, such as an accountant or tax adviser, before you make financial, tax or business decisions.
- We are not responsible for decisions you make using our products.
Intellectual property
All copyright and other intellectual property rights in the website, the products, their formulas and layouts, and our written guides are owned by or licensed to Sam Sheldrake. Buying a product gives you the licence in Section 07 and nothing more.
Please do not remove copyright notices or credits from our files.
Our responsibility to you
What we do not limit: Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- your statutory rights as a consumer, including the rights in Section 06; or
- anything else that cannot lawfully be limited or excluded.
Everything else: Subject to the above, and as far as the law allows:
- We are not liable for loss of profit, loss of business, loss of data, or any indirect or knock-on loss.
- Our total liability for a product, or for your use of it, is limited to the price you paid for that product.
- We take reasonable care to keep the site and products working, but we cannot promise the site will always be available or free of errors.
Third-party services and availability
Our website uses services from other companies, such as Stripe for payments and Supabase for accounts and sign-in. Those companies have their own terms. The site may sometimes be unavailable for maintenance, or because of a problem with one of them, or for another reason outside our control. We will try to put things right promptly, but we cannot promise the site will always be available.
Changes to these Terms
We may change these Terms from time to time, for example because the law changes or we change how the site works. Updates will be posted on this page with a new "Last updated" date.
The Terms in force at the time of your purchase apply to that purchase. If you keep using the site or buy again after a change, the new Terms apply to what you do from then on.
Governing law and jurisdiction
These Terms, and any dispute or claim connected with them, are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute.
If you live in Scotland or Northern Ireland, you can also bring a claim in the courts where you live. This does not affect any statutory rights you have.
